1. Nature of the information

This site is a commercial landing page operated by ALLIANCE with the sole purpose of promoting the sale of El Espadañal Maritime Terminal, located in Frontera, Centla, Tabasco, Mexico, based on technical documentation provided by the promoter (technical fact sheet and institutional presentation of the property). 4. Scope of the promotion

ALLIANCE has the owner's authorization to promote the sale of the property and facilities described in the fact sheet, and to use the name, photographs and information provided for this commercial presentation. This authorization does not, by itself, certify operational status, title status, absence of liens, or validity of administrative authorizations for the property.

The transaction type is a sale. This site does not promote leasing, partnership, or sale of shares.

5. Independent review by the interested party

It is the responsibility of the interested party and their advisors to conduct an independent review covering, among other aspects: ownership and authority of the seller, technical and structural condition of the facilities, environmental status, applicable port regime, liens, and final contractual terms. ALLIANCE assumes no responsibility for the accuracy, validity or sufficiency of the source documentation.

6. Foreign buyers

Any eventual participation of foreign buyers in this transaction will be subject to applicable Mexican legal provisions on foreign investment, restricted zones, and the regime for assets located in border or coastal strips, as applicable. 10. Jurisdiction

For any dispute arising from the use of this site (other than the purchase-sale contract that the parties may enter into), the parties submit to the competent courts of Mexico City, waiving any other jurisdiction that may apply to them.
